Terms of Service

1. Who we are and this agreement

Engagerly is operated by Botorium Ltd, a company incorporated in the United Kingdom ("Botorium", "we", "us" or "our"). Engagerly includes the Engagerly Discord bot, the web dashboard, the developer API, the website at engagerly.bot and any related services (together, the "Service").

By adding Engagerly to a Discord server, signing in to the dashboard, using the API or otherwise using the Service, you agree to these Terms of Service, our Privacy Policy, our Refund Policy and our Cookie Policy. If you do not agree, please do not use the Service.

If you use the Service on behalf of a business, project, DAO or other organisation, you confirm that you are authorised to accept these terms for it, and "you" includes that organisation.

2. Eligibility and accounts

You must have a valid Discord account and meet Discord's minimum age requirement in your country (at least 13, and higher in some countries). To buy anything from us you must be old enough to enter into a binding contract where you live, or have the permission of a parent or guardian.

You sign in to the dashboard with Discord. You are responsible for keeping your Discord account secure and for all activity carried out through it. If you think someone has accessed your account or your server's Engagerly settings without permission, contact us straight away.

When you sign in, you can choose to join our official Discord server. This is optional and does not affect your access to the Service.

3. The Service

Engagerly helps Discord communities run engagement programmes, including tasks and quests, points and currencies, levels, leaderboards, shops, giveaways, drops, games, coupons, analytics, social quests and trackers on X and Bluesky, and related tools. Features and limits depend on your server's plan, as described on our pricing page.

Server admins can give team members access to specific modules, issue developer API keys and connect external accounts. API keys must be kept confidential, used only for the server they were issued for, and used within the rate limits and scopes we set. We may revoke keys that are misused or exposed.

We are continually improving Engagerly, so features may be added, changed or removed over time. If a change materially reduces the core features of a paid plan during a period you have already paid for, we will tell you in advance where reasonably possible, and you may be entitled to a remedy under applicable law.

We aim to keep the Service available and reliable, but it may sometimes be interrupted for maintenance, updates, problems with Discord or other third parties, or events outside our control.

4. Discord and other third-party services

Engagerly runs on Discord and relies on other third-party services. Your use of Discord is governed by Discord's Terms of Service, Community Guidelines and, for bot developers, the Discord Developer Terms. You must comply with them when using Engagerly. Engagerly is not affiliated with or endorsed by Discord, X or Bluesky.

Some features depend on third parties such as X, Bluesky, Stripe, blockchain networks and data providers. Those services have their own terms, and we are not responsible for their availability, accuracy or changes. If a third party changes or withdraws its service or API, we may need to change or remove the related Engagerly features.

Engagerly asks only for the Discord permissions its features need. If you remove permissions or remove the bot, some or all features will stop working for that server.

5. Acceptable use

You must use the Service lawfully and responsibly. In particular, you must not:

• Use Engagerly for anything illegal, fraudulent, deceptive or harmful, including scams, unlawful gambling or lotteries, money laundering or sanctions evasion.
• Break Discord's, X's or Bluesky's terms or rules, or use Engagerly to spam, harass or mislead people.
• Farm, bot or manipulate tasks, rewards, giveaways, invites or social quests with fake, automated or duplicate accounts.
• Attempt to access data, servers or accounts you are not authorised to access, or interfere with other communities using Engagerly.
• Probe, scan, overload or disrupt the Service, bypass rate limits, plan limits or security controls, or exploit bugs instead of reporting them.
• Copy, modify, reverse engineer or resell the Service, except where the law expressly allows it.
• Upload or deliver content through the Service that is unlawful, infringes others' rights, contains malware or is sexually explicit involving minors.
• Collect members' personal data through Engagerly for purposes they have not been told about, or sell it.

6. Server admin responsibilities, points and rewards

Server owners and admins decide how Engagerly is configured in their server, including what tasks, rewards, shop items, giveaways and games are offered, and to whom. You are responsible for your configuration, for the rewards and deliverables you promise or deliver to your members, and for complying with any laws that apply to your community, such as rules on promotions, prize draws, gambling, consumer protection, financial promotions and data protection.

Engagerly processes your members' data on your instructions to run your community features. You are responsible for telling your members how their data is used in your server, and for any exports or other uses of member data you make outside Engagerly. See our Privacy Policy for more details.

Points, currencies, XP, levels and other in-community items managed with Engagerly have no monetary value, are not money or e-money, and cannot be exchanged with us for cash. Any value attached to them is set by the relevant community, not by Botorium. We are not a party to any arrangement between a community and its members and are not responsible for rewards a community fails to deliver.

If you connect your own Discord bot application through the brand bot add-on, you remain responsible for that application under Discord's terms and for keeping its credentials secure.

7. Plans and payments

Engagerly has a Free plan and two paid plans, Premium and Ultimate. Paid plans are bought per Discord server as one-time passes of 30 days, 365 days or Lifetime. They are not subscriptions and do not renew unless you turn on auto-renew. Extra passes stack and are used after your current plan time. If a server holds time on more than one plan, the higher plan is used first and the remaining lower-plan time is kept for later.

Server members can sponsor a server by buying plan time for it at the same prices, and plan time can also be added with official Engagerly redemption codes. Redemption codes have no cash value, may have conditions (for example, a server can redeem only one trial code from the same campaign) and may be voided if obtained improperly.

Prices are shown in US dollars and exclude tax unless stated otherwise. Applicable tax is calculated at checkout. Every purchase comes with an invoice or receipt. Prices may change, but a change will not affect a purchase you have already completed.

You can pay by card and other methods offered through Stripe, or in USDC on supported networks (currently Ethereum, Base, BNB Chain, Polygon and Arc, as available at checkout). For USDC payments you must send the exact amount shown, on the network you selected, before the payment request expires. Blockchain transactions cannot be reversed by us, and sending the wrong amount, token or network may delay or prevent your order; contact us if this happens. We may screen USDC payments against sanctions lists and hold or decline payments that fail screening.

Plan time keeps running even if the bot is removed from the server, and resumes being applied as soon as the bot is added back. We may refuse or cancel an order if we suspect fraud, if pricing or availability was displayed in error, or if a payment fails. If you open a chargeback or payment dispute, we may suspend transfers and upgrades for the affected plan while it is resolved and remove the purchased benefits if the dispute is decided in your favour.

8. Lifetime plans

A Lifetime plan gives a server the benefits of the purchased plan for as long as we continue to operate Engagerly and offer that plan. It does not refer to the lifetime of any person or company, and it does not prevent us from changing features over time as described in section 3. If we ever discontinue Engagerly, we will give reasonable advance notice, and your statutory rights are not affected.

A Lifetime plan can be transferred once to another server. Only the owner of the current server can transfer it, they must also own the destination server, and the bot must already be in the destination server. Transfers are not available while the purchase (or an upgrade) is still within its 14-day refund period, and bonus Credits do not move with a transfer.

Premium Lifetime can be upgraded to Ultimate Lifetime by paying the published upgrade price. Upgrading does not reset the one-time transfer.

9. Auto-renew, expiry and downgrades

Auto-renew is optional and off by default. If you turn it on, you authorise us to charge your saved payment method for a 30-day pass of the plan you choose whenever your server's remaining time falls below the threshold you set, subject to the monthly spending limit you set. We will message you after each charge or failed charge and notify you before charging a new price. You can turn auto-renew off at any time in the dashboard. Auto-renew is switched off after 3 failed payments in a row, is paused if your bank requires extra authentication until you complete it, and is switched off automatically if the server receives an equal or higher Lifetime plan.

Before a plan expires, we send reminders 7 days and 1 day in advance. When a plan expires, the server moves to any remaining plan time it has, to its Lifetime plan if it has one, or otherwise to the Free plan. Nothing is deleted. For 3 days after the downgrade you can still edit items that exceed the new plan's limits. After that, those items cannot be edited or reactivated until you reduce them to within the limits or add more plan time, although you can always deactivate or delete them.

10. Usage Credits and add-ons

Usage Credits pay for checking X and Bluesky activity behind social quests and trackers. Ultimate includes a monthly tracker credit allowance and bonus Credits with each pass, and you can buy additional Credits. Credits are used up as checks are made, with Credits that expire soonest used first. Monthly allowances and promotional Credits expire as stated when they are granted; purchased Credits do not expire while the Service operates. Credits stay with the community they were bought for and can only be used with the features that require them. Credits have no cash value and cannot be transferred or exchanged except as described in these terms. You can optionally turn on auto-recharge to top up Credits automatically within limits you set.

Brand bot is a one-time add-on, bought per server, that lets the server run Engagerly under its own Discord bot application. It requires an active Premium or Ultimate plan, and the bot's name, avatar and profile are your responsibility. If the add-on is refunded, the connected bot is disconnected from the Service.

Servers on Premium or Ultimate also receive Role Timer Premium, a separate product operated by Botorium Ltd, for as long as the Engagerly plan is active.

11. Refunds and cancellation

Our Refund Policy forms part of these terms. In summary, you can get a full refund on a plan purchase within 5 days, no questions asked. From day 5 to day 14 you can get a full refund if the plan has not been used. After 14 days we do not offer commercial refunds. Separate rules apply to Usage Credits, bonus Credits, Lifetime transfers and upgrades, and USDC payments.

If you are a consumer, you may also have a legal right to cancel within 14 days and other statutory rights, for example if the Service is faulty or not as described. These rights are not limited by the Refund Policy.

12. Your content and our intellectual property

You keep ownership of the content you add to the Service, such as task text, images, shop items and files. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, display and process that content only as needed to operate, secure and improve the Service for you. You confirm you have the rights needed to upload and use that content.

We may remove content that we reasonably believe breaks these terms or the law, or that we are required to remove.

The Service, including its software, design, text, graphics, logos and the Engagerly name, is owned by Botorium Ltd or its licensors and is protected by intellectual property laws. Subject to these terms, we grant you a limited, revocable, non-transferable licence to use the Service. You may not use our names or logos in a way that suggests endorsement without our permission.

If you send us feedback or suggestions, we may use them freely without any obligation to you.

13. Suspension and termination

You can stop using Engagerly at any time by removing the bot from your server and stopping use of the dashboard. Removing the bot does not cancel or refund plan time already purchased, and plan time continues to run.

We may suspend or end your access to the Service, or a server's use of it, if you seriously or repeatedly break these terms, if we must do so by law, if Discord requires it, or to protect the Service, our users or third parties. Where reasonable we will tell you in advance and give you a chance to fix the problem. If we end a paid plan without a valid reason under these terms, we will refund the unused portion.

When a server stops using Engagerly, we delete its community data as described in our Privacy Policy. Sections of these terms that by their nature should continue, such as intellectual property, disclaimers, limitation of liability and governing law, survive termination.

14. Disclaimers

We provide the Service with reasonable care and skill. Apart from that and any other rights you have by law that cannot be excluded, the Service is provided "as is" and "as available", and we do not promise that it will be uninterrupted, error-free or suitable for every purpose.

Engagerly is a community engagement tool. It does not provide financial, legal, tax or investment advice. Analytics, leaderboards and verification results depend on data from Discord and third parties and may be incomplete or delayed. Social quest and tracker verification can be affected by third-party API limits, privacy settings and outages.

15. Limitation of liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable, and we do not supply the Service for business purposes, so we are not liable to consumers for loss of profit, business, revenue or opportunity.

If you use the Service for business purposes, to the extent permitted by law we will not be liable for any indirect or consequential loss, or for loss of profits, revenue, business, goodwill, data or anticipated savings, and our total liability arising out of or in connection with the Service in any 12-month period will not exceed the amount you paid us for the Service in that period.

We are not responsible for delays or failures caused by events outside our reasonable control, including outages or changes at Discord or other third-party providers, blockchain network issues or internet failures.

16. Changes, governing law and contact

We may update these terms from time to time, for example to reflect changes to the Service or the law. We will post the updated terms on this page and change the "Last updated" date. If a change is significant, we will give reasonable notice through the website, the dashboard or our Discord server. If you continue to use the Service after the changes take effect, the updated terms apply. If you do not agree, you can stop using the Service, and the terms that applied when you made a purchase continue to apply to that purchase where the law requires it.

These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland you can also bring proceedings in your local courts, and if you live elsewhere you keep any mandatory consumer protections of the country where you live.

If any part of these terms is found to be unenforceable, the rest remains in effect. We may transfer our rights and obligations under these terms to another organisation, for example as part of a reorganisation or sale of the business, and we will make sure your rights are not reduced as a result. You may not transfer your rights without our consent, apart from the Lifetime plan transfer described above.
